1. Acceptance

By accessing tallpinze.com or using the CPA referral platform (the "Platform") — including submitting a form, booking a call, or making a payment — you agree to these Terms & Conditions, the Privacy Policy, and, if you are a CPA or Vendor, the Licensing Agreement. If you do not agree, do not use the Platform.

2. What Tall Pinze does — and does not do

Tall Pinze is a referral facilitator and technology provider that introduces

CPAs and their Clients to independent third‑party Vendors. Tall Pinze:

• does not provide accounting, tax, legal, financial, insurance, lending, or any other professional advice or service;
• does not perform, supervise, or control the work of any Vendor;
• does not guarantee any referral, match, response, price, result, or the quality or conduct of any Vendor, CPA, or Client;
• is not a party to and is not responsible for any agreement, engagement, payment, or dispute between a Client and a Vendor.

Any engagement you enter with a Vendor is solely between you and that Vendor, under their own contract, licenses, and insurance. Do your own due diligence before engaging any Vendor.

3. Referrals and the directory

• The public directory describes the types/categories of vendors available; it is marketing information, not a complete or guaranteed list of providers, and not an endorsement.
• Submitting an inquiry does not guarantee a match or any particular Vendor, timeline, or outcome. Follow‑up communications describe our intended process (e.g., "expect next steps in 3–5 business days") and are estimates, not promises.
• Real Vendor and Client details are kept private and handled per the Privacy Policy.

4. Eligibility and accounts

You must be at least 18 and able to form a binding contract, and you must provide accurate, current information. You are responsible for activity under your submissions and for keeping your contact details up to date.

5. Payments — "Buy Now" and fees

If you make a payment through the Platform (for example, a "Buy Now"/checkout step on an application), the amount, what it covers, and any refund terms are shown at checkout [CONFIRM price, what it buys, refund policy, and processor — Stripe/other]. Payments are processed by our third‑party processor; you authorize that charge. Vendor technology fees are governed by the Licensing Agreement. Except as stated at checkout or required by law, payments are [non‑refundable / refundable per policy — CONFIRM].

6. Acceptable use

You will not: misuse the Platform or interfere with its operation or security; scrape, copy, or harvest the directory, roster, or other users' information; submit false, unlawful, infringing, or harmful content; use the Platform to send spam or to violate anti‑spam, privacy, or professional‑conduct laws; or attempt to circumvent the technology fee or these Terms. We may remove content and suspend or terminate access for violations.

7. Intellectual property

The Platform, site content, branding, and "Tall Pinze" marks are owned by Tall Pinze or its licensors and are protected by law. We grant you a limited, revocable, non‑transferable license to use the Platform for its intended purpose. You keep rights to information you submit but grant us a license to use it to operate the Platform as described in the Privacy Policy and Licensing Agreement.

8. Third‑party services and links

The Platform relies on and links to third‑party services (e.g., Cloudflare, Google, Calendly, our payment processor, and, in Phase 2, CRM/calling providers) and to Vendors' sites. We are not responsible for third‑party services or content; your use of them is governed by their terms.

9. Disclaimers

The Platform and all referrals are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, accuracy, or availability. We do not warrant any Vendor, CPA, Client, referral, result, or that the Platform will be uninterrupted or error‑free.

10. Limitation of liability

To the fullest extent permitted by law, Tall Pinze and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for the acts, omissions, advice, work, fees, or disputes of any Vendor, CPA, or Client. Tall Pinze's total liability arising out of or relating to the Platform will not exceed [the amount you paid Tall Pinze in the prior [12] months / $[CAP]]. Some jurisdictions do not allow certain limitations; where that applies, the above applies to the maximum extent permitted.

11. Indemnification

You will indemnify and hold harmless Tall Pinze and its members, officers, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your content, your engagement with any Vendor or Client, or your violation of these Terms or of any law.

12. Changes and termination

We may modify the Platform or these Terms at any time; material changes will be posted with an updated Effective date, and continued use means acceptance. We may suspend or end access to the Platform at any time. Sections 2, 5, 7, 9, 10, 11, and 13 survive.

13. Governing law and disputes

These Terms are governed by the laws of [STATE], without regard to conflict‑of‑laws rules. Any dispute will be resolved in [venue / binding arbitration — CONFIRM], and you agree to that forum. [Counsel to confirm arbitration and any class‑action waiver.]

14. General

These Terms, the Privacy Policy, and (for Participants) the Licensing Agreement are the entire agreement between you and Tall Pinze regarding the Platform. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent.
